Terms of service
These Terms of Service (“Terms”) govern your access to and use of InvoToday (“Service”, “we”, “us”, or “our”), including the application at app.invotoday.com, related websites, APIs, and support services.
By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
If you do not agree to these Terms, do not use the Service.
1. The service
InvoToday is a multi-tenant software platform that helps businesses create and manage sales documents (quotations, invoices, credit notes), purchasing documents (purchase orders, purchase delivery notes, purchase invoices), customer and vendor records, tax configuration, and branded PDF documents. Features may vary by subscription plan and may change over time as we improve the product.
We may update, suspend, or discontinue parts of the Service at any time. We will use reasonable efforts to avoid material disruption to paid customers, but we do not guarantee uninterrupted availability.
2. Accounts and registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update information that becomes inaccurate
- Ensure that users you invite comply with these Terms
You are responsible for all activity that occurs under your account unless caused by our unauthorized access due to our failure to maintain reasonable security.
You must notify us promptly at sales@invotoday.com if you suspect unauthorized access to your account.
3. Subscription, seats and limits
Paid subscriptions are charged per seat. A seat is one named user with their own login; seats are not shared between people. Unless otherwise stated on our pricing page or in a written agreement:
- The free trial runs for a limited period with a capped number of seats and records, and prints a small “Generated by InvoToday.com” attribution on PDFs
- Paid subscriptions are subject to a minimum seat count, remove the InvoToday PDF attribution, and include the features described at the time of purchase
- You may increase or decrease your seat count during a billing period; changes are charged or credited on a pro-rata basis from the date of the change
- Volume and negotiated agreements may set different rates, limits, onboarding and support terms in a separate order form
The seat count and rate shown at checkout, or in your order form, govern your subscription. We may enforce seat and plan limits in the application; exceeding them may require adding seats or reducing usage.
4. Fees and payment
Paid subscriptions are billed according to the plan, billing cycle, and pricing shown at checkout or in your order form. Unless stated otherwise:
- Fees are quoted exclusive of applicable taxes, which you are responsible for paying
- Subscriptions renew automatically until cancelled
- We may change pricing for future billing periods with reasonable notice
- Except where required by law, fees are non-refundable
Failure to pay may result in suspension or downgrade of your workspace.
5. Your data and responsibilities
You retain ownership of the business data, customer information, documents, files, and other content you submit to the Service (“Customer Data”).
You grant us a limited license to host, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Service.
You represent and warrant that:
- You have all rights necessary to submit Customer Data to the Service
- Your use of the Service complies with applicable laws, including tax and privacy laws
- Customer Data does not infringe third-party rights or violate these Terms
- Information in sales and purchasing documents is accurate to the best of your knowledge
You are solely responsible for the content of documents you create and for determining whether InvoToday meets your legal, accounting, or regulatory requirements. The Service is a tool to help manage business documents; it does not provide legal, tax, or accounting advice.
6. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Reverse engineer, decompile, or attempt to extract source code except where permitted by law
- Interfere with or disrupt the integrity or performance of the Service
- Upload malware, spam, or malicious code
- Resell or sublicense the Service except as expressly authorized by us
- Use the Service to store or transmit content that violates third-party rights
We may investigate violations and suspend or terminate access where we reasonably believe misuse has occurred.
7. Intellectual property
The Service, including software, design, branding, documentation, and underlying technology, is owned by InvoToday or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
You may not use our name, logo, or trademarks without prior written consent.
8. Confidentiality and security
We will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. Each party agrees to protect the other party’s non-public confidential information and use it only for purposes related to the Service.
9. Third-party services
The Service may integrate with third-party providers such as identity platforms, email delivery services, hosting providers, or payment processors. Your use of third-party services may be subject to their separate terms and privacy policies. We are not responsible for third-party services we do not control.
10. Suspension and termination
You may stop using the Service at any time. You may cancel a paid subscription according to the cancellation process available in the application or by contacting us.
We may suspend or terminate your access if:
- You materially breach these Terms
- Your use poses a security risk or legal liability
- Required by law or requested by law enforcement
- Your account is inactive for an extended period on a free plan
- Fees for a paid subscription are overdue
Upon termination, your right to access the Service ends. We may delete or retain Customer Data according to our Privacy Policy, backup practices, and legal obligations. You should export any records you need before termination.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that documents generated through the Service will satisfy legal, tax, or regulatory requirements in your jurisdiction.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INVOTODAY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You will defend, indemnify, and hold harmless InvoToday and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
14. Governing law and disputes
These Terms are governed by the laws applicable in the jurisdiction where InvoToday operates, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.
Before filing a formal claim, you agree to contact us at sales@invotoday.com and attempt to resolve the dispute informally.
15. Changes to these Terms
We may modify these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, provide notice through the Service or by email. Material changes will take effect no earlier than the date posted unless required otherwise by law. Continued use after changes become effective constitutes acceptance of the revised Terms.
16. General
- Entire agreement: These Terms, together with our Privacy Policy and any applicable order form, constitute the entire agreement regarding the Service.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
