Terms of service

These Terms of Service (“Terms”) govern your access to and use of InvoToday (“Service”, “we”, “us”, or “our”), including the application at app.invotoday.com, related websites, APIs, and support services.

By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

If you do not agree to these Terms, do not use the Service.

1. The service

InvoToday is a multi-tenant software platform that helps businesses create and manage sales documents (quotations, invoices, credit notes), purchasing documents (purchase orders, purchase delivery notes, purchase invoices), customer and vendor records, tax configuration, and branded PDF documents. Features may vary by subscription plan and may change over time as we improve the product.

We may update, suspend, or discontinue parts of the Service at any time. We will use reasonable efforts to avoid material disruption to paid customers, but we do not guarantee uninterrupted availability.

2. Accounts and registration

To use the Service, you must:

3. Subscription, seats and limits

Paid subscriptions are charged per seat. A seat is one named user with their own login; seats are not shared between people. Unless otherwise stated on our pricing page or in a written agreement:

The seat count and rate shown at checkout, or in your order form, govern your subscription. We may enforce seat and plan limits in the application; exceeding them may require adding seats or reducing usage.

4. Fees and payment

Paid subscriptions are billed according to the plan, billing cycle, and pricing shown at checkout or in your order form. Unless stated otherwise:

5. Your data and responsibilities

You retain ownership of the business data, customer information, documents, files, and other content you submit to the Service (“Customer Data”).

You grant us a limited license to host, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Service.

You are solely responsible for the content of documents you create and for determining whether InvoToday meets your legal, accounting, or regulatory requirements. The Service is a tool to help manage business documents; it does not provide legal, tax, or accounting advice.

7. Intellectual property

The Service, including software, design, branding, documentation, and underlying technology, is owned by InvoToday or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

You may not use our name, logo, or trademarks without prior written consent.

8. Confidentiality and security

We will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. Each party agrees to protect the other party’s non-public confidential information and use it only for purposes related to the Service.

9. Third-party services

The Service may integrate with third-party providers such as identity platforms, email delivery services, hosting providers, or payment processors. Your use of third-party services may be subject to their separate terms and privacy policies. We are not responsible for third-party services we do not control.

10. Suspension and termination

You may stop using the Service at any time. You may cancel a paid subscription according to the cancellation process available in the application or by contacting us.

We may suspend or terminate your access if:

Upon termination, your right to access the Service ends. We may delete or retain Customer Data according to our Privacy Policy, backup practices, and legal obligations. You should export any records you need before termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that documents generated through the Service will satisfy legal, tax, or regulatory requirements in your jurisdiction.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INVOTODAY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless InvoToday and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws applicable in the jurisdiction where InvoToday operates, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.

Before filing a formal claim, you agree to contact us at sales@invotoday.com and attempt to resolve the dispute informally.

15. Changes to these Terms

We may modify these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, provide notice through the Service or by email. Material changes will take effect no earlier than the date posted unless required otherwise by law. Continued use after changes become effective constitutes acceptance of the revised Terms.
